Terms of Service
The rules and legal terms governing your use of the Fabric platform.
Welcome to Fabric. By using our website and services, you agree to be bound by these Terms of Service. Please read them carefully.
1. Account Terms
- You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
- You must be at least 18 years old to use this Service.
- You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
- You are responsible for maintaining the security of your account and password. Fabric cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
- You are responsible for all Content posted and activity that occurs under your account.
- One person or legal entity may not maintain more than one free account.
2. Acceptable Use
You agree not to use the Service to:
- Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Impersonate any person or entity or misrepresent your affiliation
- Engage in any form of fraud, including posting false bids or projects
- Violate any applicable local, state, national, or international law
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service to spam, phish, or harvest user information
3. Payment & Escrow Status
In-platform payment processing and escrow services are not enabled for the current launch. You should continue using your existing payment process unless Fabric separately enables payment services for your account in writing.
Platform Role
Fabric acts as a technology platform for organizing construction workflows, records, documents, agreements, and communications. We are not a bank and do not hold funds for the current launch.
Payment Authorization
If payment services are later enabled for your account, separate payment authorization terms may apply. Until then, Fabric does not instruct banking partners to release funds.
Fees
Fabric charges subscription fees and any separately enabled transaction fees as outlined in our Pricing page. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.
Disputed Payments
Fabric may help organize documentation relevant to disputes between parties, but it does not place funds in escrow for the current launch.
4. Intellectual Property
These are the terms regarding content ownership and intellectual property rights.
Your Content
You retain all rights to the content you upload to Fabric (project specifications, contracts, photos, etc.). By uploading content, you grant Fabric a worldwide, non-exclusive, royalty-free license to use, store, and display your content for the purpose of providing the Service.
Fabric's IP
The Service and its original content, features, and functionality are owned by Fabric and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
5. Warranties & Disclaimers
Important information about the warranties we provide and disclosures you should be aware of.
Legal Compliance
While we automate statutory lien waiver forms, we do not provide legal advice. You should consult with an attorney for specific legal questions regarding your construction projects.
Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service is provided "as is" without warranty of any kind.
User Verification
While we verify contractor licenses and insurance, we do not guarantee the quality of work or the reliability of any user. You are responsible for conducting your own due diligence.
6. Limitation of Liability
To the maximum extent permitted by law, Fabric shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability shall not exceed the amount you paid us in the twelve (12) months before the event giving rise to the liability.
7. Cancellation and Termination
Your Rights
You are solely responsible for properly canceling your account. You can cancel your account at any time by clicking on the Account link in the global navigation bar at the top of the screen and following the cancellation process.
Our Rights
We reserve the right to suspend or terminate your account at our discretion, with or without notice, for violations of these Terms or for any other reason we deem necessary to protect the Service and other users.
Effect of Termination
Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days to allow for reactivation or data export, after which it will be permanently deleted (subject to legal retention requirements for financial records).
8. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Miami-Dade County, Florida.
9. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice in the application at least 30 days before the changes take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
